Terms of Use for Inkwell Oasis Cloud

These Terms of Use ("Terms") govern your access to and use of the Inkwell Oasis Cloud platform ("Service"), operated by Inkwell Oasis ("we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. Acceptance of Terms

By creating an account, accessing, or using any part of the Inkwell Oasis Cloud platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

Inkwell Oasis Cloud is a Software-as-a-Service (SaaS) platform that provides workflow automation, third-party integrations, and AI-powered content orchestration. The Service enables users to:

• Connect to third-party platforms and services via OAuth and API integrations (including but not limited to Notion, WordPress, GitHub, Medium, LinkedIn, Twitter/X, Instagram, Discord, Slack, and others)
• Create, configure, and execute automated workflows
• Utilize AI-powered features for content generation and data processing
• Manage organizational workspaces, teams, and credentials
• Receive notifications and interact via conversational channels

3. Account Registration and Security

To use the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep this information updated. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use of your account
• Ensuring that your use complies with all applicable laws and regulations

You must be at least 18 years old to use the Service. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Third-Party Integrations and OAuth

The Service allows you to connect to third-party platforms through OAuth authentication and API integrations. When you authorize a connection:

• You control access: You explicitly choose which data and permissions to grant to Inkwell Oasis Cloud when connecting third-party services
• We store credentials securely: OAuth tokens and API credentials are encrypted using AES-256-GCM encryption at rest
• You can revoke access: You may disconnect any integration at any time through your account settings or directly through the third-party platform
• Third-party terms apply: Your use of connected services is also subject to the respective terms and policies of those third-party providers

We act as a data processor on your behalf when accessing connected services. We do not sell, rent, or share your connected account data with third parties except as necessary to provide the Service.

5. API Credentials and Security

When you provide API keys, tokens, or other credentials for third-party services, you acknowledge that:

• You are authorized to use those credentials and grant Inkwell Oasis Cloud permission to access the respective services
• You are responsible for any costs, rate limits, or usage charges incurred through your connected accounts
• You should rotate credentials periodically and revoke access if you suspect unauthorized use
• We implement industry-standard security measures but cannot guarantee absolute security

6. AI and Machine Learning Features

The Service includes AI-powered features that utilize third-party AI providers (such as OpenAI, Anthropic, Google, and others). When using these features:

• Your data may be processed by third-party AI providers according to their respective terms and privacy policies
• AI-generated content should be reviewed for accuracy before publication or use in critical applications
• You retain ownership of your input data and any content you create using the Service
• We do not use your data to train AI models without your explicit consent, though third-party providers may have their own data usage policies

7. Acceptable Use Policy

You agree not to use the Service to:

• Violate any applicable laws, regulations, or third-party rights
• Engage in unauthorized access, hacking, or security breaches of any systems or networks
• Distribute malware, spam, or other malicious content
• Circumvent or abuse rate limits, quotas, or usage restrictions of the Service or connected platforms
• Impersonate others or misrepresent your affiliation with any person or organization
• Collect or harvest data from third-party services in violation of their terms
• Use automated workflows for activities that could harm individuals, organizations, or systems
• Interfere with or disrupt the integrity or performance of the Service

8. Intellectual Property

The Service, including its original content, features, and functionality, is owned by Inkwell Oasis and is protected by international copyright, trademark, and other intellectual property laws. You retain ownership of any content you create or upload to the Service.

By using the Service, you grant us a limited license to process, store, and transmit your content as necessary to provide the Service. This license terminates when you delete your content or close your account.

9. Service Availability and Modifications

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We reserve the right to:

• Modify, suspend, or discontinue any part of the Service with reasonable notice when possible
• Perform maintenance that may temporarily affect availability
• Update features, integrations, or functionality to improve the Service
• Impose limits on certain features or restrict access to parts of the Service

10. Payment and Billing

Certain features of the Service may require payment. By subscribing to a paid plan, you agree to:

• Pay all applicable fees according to the pricing in effect at the time
• Provide accurate billing information and keep it updated
• Accept that fees are non-refundable except as required by law or expressly stated otherwise

We reserve the right to modify pricing with reasonable advance notice. Continued use after a price change constitutes acceptance of the new pricing.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that the Service will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Service is free of viruses or other harmful components.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INKWELL OASIS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of or inability to access or use the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content, including data from connected third-party services

13. Indemnification

You agree to indemnify, defend, and hold harmless Inkwell Oasis and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any third-party rights.

14. Termination

You may terminate your account at any time by contacting us or using the account deletion feature. We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including breach of these Terms.

Upon termination:

• Your right to use the Service will immediately cease
• We may delete your data in accordance with our data retention policies and applicable law
• Provisions of these Terms that by their nature should survive termination will survive

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the applicable jurisdiction, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through good faith negotiations, and if unsuccessful, through binding arbitration or the courts of competent jurisdiction.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on this page and updating the "Last Updated" date. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms. We encourage you to review these Terms periodically.

17. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
